Company Leadership - H. Scott Gregory, Jr.


H. Scott Gregory, Jr. serves as Corporate Counsel for Chesley Brown Companies, Inc.


Scott Gregory is a partner in Brock and Clay's Corporate and Transactional Law Group. After graduating from Emory University School of Law, Mr. Gregory accepted an appellate clerkship with Justice Harris P. Hines, Supreme Court of Georgia. In 1998, Governor Roy E. Barnes appointed him to the position of Chief Legal Counsel for the newly formed Georgia Regional Transportation Authority. As legal counsel for the Authority, Mr. Gregory worked closely with the Governor's office to draft the initial policies and procedures, construct transportation agreements, advises the Board of Directors on legal and corporate governance issues, and assisted in the selection of an Executive Director.

Mr. Gregory has a comprehensive corporate practice that includes general business law, construction law, and local government law. His practice primarily consists of providing strategic assistance to individuals, entrepreneurs, start-ups, and other corporate and governmental entities concerning organizational structure, risk avoidance, corporate governance, business operations, commercial litigation, buy/sell arrangements, mergers, acquisitions, divestitures, franchise agreements, distribution arrangements, regulatory compliance, and methods for protecting assets. Mr. Gregory also helps clients with real estate development issues and management of construction projects including the drafting and negotiation of contract documents, procurement issues, public works, competitive bidding requirements, bid protest issues, project delivery methods, including design-build projects, risk allocation in contracts, and claims avoidance.

Mr. Gregory advises and represents numerous corporations on an ongoing basis. He currently serves as outside general counsel for Cobb Energy Management Corporation and its affiliate companies ("Cobb Energy"). Cobb Energy is a for profit affiliate of Cobb EMC, offering residential and commercial products and services to Cobb EMC members and others. In addition, Mr. Gregory enjoys working with individuals to build successful business enterprises. He worked hand in hand with Ashley Martin of Martin Capital, LLC to help Ashley develop an extremely successful real estate finance and development company from scratch. Martin Capital was recognized by Entrepreneur Magazine as one of the fastest-growing new entrepreneurial businesses in America during the past four years, 2002-2005 (http://www.martincap.com).

Brock & Clay encourages its attorneys to be active leaders and servants in the local communities they serve. Mr. Gregory is a Senior High Youth Group Leader and Deacon at the First Presbyterian Church of Marietta, a long-term member of the Rotary Club of Marietta, and a member of the Board of Directors of the Boys and Girls Club of Cobb County. Mr. Gregory also organized and serves as the Vice-Chairman of the Board of Directors of NorthWest Bank & Trust, a local community bank in Acworth, Georgia.

Mr. Gregory was admitted to the Georgia Bar in 1995.
